TERMS OF SERVICE AGREEMENT. LAST UPDATED: DECEMBER 12, 2014 THESE REGULATIONS CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU, A PERSON OR ENTITY WHO REGISTERS AND PURCHASES MENUSI SERIVCE OR WHO REGISTERS TO USE DEMO OF THE MENUSI SEVICE (hereafter referred to as “user”), AND THE MENUSI SERVICE (hereafter referred to as “service”) FOR THE USE OF THE MENUSI SERVICE. IF YOU DO NOT AGREE WITH THESE TERMS AND DO NOT ACCEPT THE REGULATIONS OF OUR PRIVACY POLICY, DO NOT USE OUR WEBSITE AND SERVICES.

1. General Provisions
a) YourSpot.biz Polska Ltd. runs the Menusi service (hereafter referred to as “the service”). Users can use the service after signing up. These regulations specify terms of use of the service. b) You must be 18 years or older in order to register with the service. c) Terms of service and regulations are set by the service and may not be modified by users. d) If we make a change to the terms of service we will provide you with notification. Your continued use of service following changes constitutes your acceptance of our amended terms. e) The service reserves the right to suspend or terminate a user's account in case a user violates the terms of service.

2. Registration and setting a user's account
a) In order to register, the user must provide the following information: • email address • select user password b) Once registration is complete, an account will be automatically opened for the user.

3. Terms of Use, Liability and Warranty
a) Menusi team makes an effort to run the service with due care. Despite its best efforts, testing and virus monitoring, we do not guarantee that the software and website are free from errors, defects, and will be available without interruption. Therefore, we are not liable for damages, material or physical data loss or errors associated with the use of the service and application or due to a conflict with other software used by a user. b) The User recognizes that fluctuations in bandwidth and other variables that lie outside the service's control may affect the continuity and quality of service. c) A user is responsible for his or her password, payments, account and other activities that occur within his or her account. d) A user will not attempt to harm, disrupt or engage in activity that diminishes Menusi services. e) A user will not attempt to modify, adapt, edit, copy, decompile, disassemble, or reverse engineer any software used or provided by Menusi. f) The Service is not liable for damages or losses caused by third parties, associated with an unauthorized access to the site.

4. Payment Plans, Fees and Billing Period
a) The amount of the Fee, if any, is determined by the Payment Plan and Billing Period selected by the user. b) Fees can be viewed at any time in the Pricing section and on the Payment Plan page. c) Users may select and upgrade a payment plan. d) If the service is required to pay any sales, goods and services, value added, or other taxes in relation to Paid User’s purchase, those taxes will be billed to and paid by the user. e) The billing period starts on a day a user selects and confirms his payment plan. f) Duration of the billing period is selected with payment plan and indicated on the invoice.

5. Suspension or account termination.
a) The service reserves the right to suspend or terminate a user's account in case: i) user fee is late (is paid after next billing period starts) or fee is not paid, ii) there is an activity that results from the use of the Service by user and last for a period longer than 30 days without payment.

6. Customer's data
a) The service does not own any of Customer's Data. b) Customer is responsible for the accuracy and legality of Customer's Data.

7. Labels, Table Signs, Stands
a) Menusi as part of service agreement may provide table labels. b) Labels may be supplied with stands, programmed NFC tags and QR codes. c) In case of loss (stolen, damaged or by other means) or the need to replace for a new, service may deliver new labels and stands for additional fee. The fee depends on the number of new labels and stands. d) In case newly delivered label or stand is damaged, NFC tag or QR code is not working, a replacement item may be ordered by a user.

8. Termination of the Agreement
a) Either party may terminate this Agreement as follows (i) if either party breaches its obligations under this Agreement (ii) a user does not renew payment plan. b) A user may terminate this Agreement before billing cycle ends by closing account and providing written notice of its intention not to renew the Agreement. In that case charges are not refunded or prorated if service is terminated or modified before monthly billing cycle ends

9. Privacy Policy
a) Users accepting the use of the site and service are subject to the Privacy Policy described on the website.

10. Maintenance, Support and Error Reporting
a) The service will provide maintenance and support services. b) Errors should be reported as soon as they are observed, using contact or support tab.

11. Intellectual Property
a) The service "Menusi" is protected by copyright regulations. You can use the service solely for purposes compliant with the terms and conditions which have been established in these regulations and in accordance with applicable laws, rules and regulations. b) It is forbidden to use the URL menusi.com, company logo or name on another website, digital platform or newspaper without the Company’s prior permission.

12. Governing Law
a) These terms and conditions are subject to Polish law and the parties submit to the Polish court of jurisdiction.
